Terms and Conditions of Use – Knovira Business

1. Acceptance of Terms

By creating an account, downloading, or using the Knovira Business application (hereinafter "Application" or "Service"), developed and managed by Knovira Labs, the user expressly agrees to these Terms and Conditions. If you do not agree with any of the clauses, you should not use the Service.

2. Service Description and Subscription Modalities

Knovira Business is a business-management support platform, available on Android and the Web depending on the subscribed plan. Features include sales and cash management, expenses, customers and debts, stock and batches, reports and income statements, work orders, attachments, access roles, audit logs, and cloud synchronization.

• Plans: The Service is available under the Start, Pro, and Max plans. Features, device limits, billing periods, and applicable prices are those shown on the pricing page or in the commercial proposal accepted when subscribing.
• Trial: When offered, the free trial lasts for the period stated at activation and may be subject to functional or technical limits.
• Renewal and payment: Continued access to paid features depends on timely payment. Unless a proposal states otherwise, payments are non-refundable once the purchased period has begun, without limiting any mandatory legal rights.
• Plan changes: An upgrade may take effect immediately; a downgrade may take effect in the next billing cycle and may remove access to features, extra devices, or synchronization.
• Changes: Knovira Labs reserves the right to modify the features of each plan or adjust subscription fees, upon 30 days prior notice to active users.

3. Data Processing and Synchronization

• Offline-first architecture: The Android application may store data locally. Cloud synchronization and Web access depend on the subscribed plan, a valid account, and connectivity.
• Connectivity Responsibility: The safeguarding of data in the cloud depends on successful synchronization. The user is entirely responsible for ensuring their device connects to the internet regularly. Knovira Labs is not responsible for data lost if the user's physical device is damaged, stolen, or formatted before the synchronization process with our servers is complete.
• User-initiated sharing: Receipts, collection statements, or other documents shared through WhatsApp or external applications are also subject to those services' policies. Knovira Business does not send such documents without user action.

4. Privacy and Information Ownership

Operational, customer, sales, and financial data entered into the Application remain under the store's control. Knovira Labs processes them to provide, protect, and improve the Service under the Privacy Policy, including through necessary cloud, authentication, storage, and notification providers.

5. Limitation of Liability

The Application is provided as a management support tool. Knovira Labs expressly declines any liability for:

• Stock inconsistencies, financial losses, or cash shortages resulting from human error in data entry.
• Incorrect tax calculations or non-compliance with the Tax Authority. Knovira Business does not replace the services of a certified accountant or the use of homologated invoicing software, should the law require so for the user's tax bracket.
• Commercial disputes between the user and their respective customers resulting from the use of the Work Orders (OS) module or debt management.
• Business decisions made solely from reports, forecasts, margins, alerts, or simulations generated by the Service. Results depend on the quality and timeliness of the data entered.

6. Account Suspension and Cancellation

Knovira Labs reserves the right to suspend, downgrade, or cancel accounts in the following scenarios:

• Failure to pay the subscription within the established deadlines.
• Attempts at reverse engineering, code manipulation, or use of automated systems to overload Knovira Labs' infrastructure.
• Use of the Service for illicit purposes.

7. Jurisdiction and Dispute Resolution

These Terms and Conditions are governed by the current laws of the Republic of Mozambique. Any dispute arising from the interpretation or execution of this agreement shall be submitted to the competent courts of the city of Nampula, with express waiver of any other jurisdiction.

8. Intellectual Property and Permitted Use

The application, interface, brand, text, and code belong to Knovira Labs or their respective licensors. A subscription grants a limited, non-exclusive, non-transferable right to use the Service during the subscribed period. Copying, resale, circumvention of limits, reverse engineering, or unlawful exploitation of the Service is prohibited.
